For a nonprofit that actively uses its bylaws, the bylaws can be an interesting glimpse into the organization’s governing psyche and are developed during the incorporation phase of a business or nonprofit.


Bylaws are the rules that govern the internal management of an organization. They are written by the organization’s founders or directors and cover,  at minimum, topics such as how directors are elected, how meetings of directors are conducted, and what officers the organization will have and their duties.
Bylaws are the primary official documents for a corporation, whether a business or a nonprofit. The particular requirements for bylaws are set by the state in which the organization incorporates.
Tailor bylaws to meet the organization’s mission. Consider the organization’s potential short-term growth, and build flexibility into the bylaws. Then, as growth dictates, the board can propose changes.
As the organization grows and matures, board members should:

  • Review bylaws on an ongoing basis, and revise as needed.
  • Be sure to re-evaluate bylaws whenever the organization creates a major subsidiary program.

The Kshatriyas Association of North America Bylaws

Article 1 – Offices

The principal office of the corporation is located in Bucks County, State of Pennsylvania.

Article 2 – Non- profit Purposes

Section 1. IRC Section 501(c)(3) Purposes
This corporation is organized exclusively for one or more of the purposes as specified in Section 501(c)(3) of the Internal Revenue Code, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under Section 501(c)(3) of the Internal Revenue Code.
Section 2. Specific Objectives and Purposes
To provide a platform for all the Kshatriyas living in North America to

  • Promote our culture, values and identity
  • Paving a path for a better future for our kids through social, cultural and Literary activities
  • Raise money to help people around the world toEnable social and cultural integration
  • Providing medical care to the poor by organizing medical camps and paying for medical insurance to the elderly in India.
  • Help farmers manage crises during times of hardship
  • Eradicate illiteracy by providing assistance to educational institutions;  institute and award travel fellowships and scholarships; provide financial assistance to poor students;
  • Assist educated people in seeking employment; provide financial assistance for self-employment
  • Protect and preserve the environment
  • Provide financial assistance to home for the aged and orphanages
  • Serve as a co-coordinating and guiding agency for various Trusts and Associations located in North America, with similar goals and objectives to serve the society.
  • Honor and encourage people who have achieved excellence in Social Service, Fine Arts, Literature, Science and Technology and Entrepreneurship.
Article 3 – Trustees

Section 1. Number:
The corporation shall have 6 Trustees and collectively they shall be known as the board of Trustees.
Section 2. Qualifications:
The trustees are of 35 + years of age and possess a minimum of college degree and have been involved in community service.
Section 3. Powers:
Subject to the provisions of the laws of this state and any limitations in the articles of incorporation and these bylaws relating to action required or permitted to be taken or approved by the members, if any, of this corporation, the activities and affairs of this corporation shall be conducted and all corporate powers shall be exercised by or under the direction of the board of Trustees
Section 4. Duties:
It shall be the duty of the Trustees to:
a) Perform any and all duties imposed on them collectively or individually by law, by the articles of incorporation, or by these bylaws;
b) Appoint and remove, employ and discharge, and, except as otherwise provided in these bylaws, prescribe the duties and fix the compensation, if any, of all officers, agents, and employees of the corporation;
c) Supervise all officers, agents, and employees of the corporation to assure that their duties are performed properly;
d) Meet at such times and places as required by these bylaws;
e) Register their addresses with the secretary of the corporation, and notices of meetings mailed or emailed to them at such addresses shall be valid notice thereof.
